LIMELIFE PRODUCT TERMS OF SERVICE
Effective Date: December 15, 2006

PLEASE READ CAREFULLY. THESE TERMS AND CONDITIONS ("THE AGREEMENT") CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN YOU ("YOU" AND "YOUR") AND LIMELIFE, INC. ("LIMELIFE", "WE" OR "OUR"). BY DOWNLOADING, ACCESSING OR USING ELEMENTS OF THIS WEBSITE OR THE MATERIALS, MOBILE SERVICES AND/OR PRODUCTS OFFERED BY LIMELIFE (COLLECTIVELY THE "SERVICES"), YOU ARE INDICATING THAT YOU HAVE READ THIS AGREEMENT, THAT YOU UNDERSTAND IT, AND THAT YOU CONSENT TO BE BOUND BY ALL OF ITS TERMS AND CONDITIONS. IF YOU DO NOT AGREE WITH ALL OF THE FOLLOWING TERMS AND CONDITIONS, PLEASE DO NOT ACCESS THIS WEBSITE, USE ANY SERVICES, OR DOWNLOAD OR ACQUIRE ANY LIMELIFE MATERIALS.

The Website means this website, and any subdomain of the "limelife.com" primary domains, including www.limelife.com and wap.limelife.com. The Services and Materials (as defined below) are available at the Website and through text messaging and include everything that LimeLife may make available for subscription or download from time to time. The Services include mobile products, such as games, applications, graphics, text messages containing lifestyle information, and various other items of interest. Subject to your compliance with this Agreement and your payment of applicable fees, you will be permitted to access and use the Services and Materials, which requires that you have access to one or more compatible wireless telephones or other compatible devices and a compatible communications network.

With respect to any particular Service or Materials, this Agreement includes any specific terms that apply to such Service or Materials, as described on the applicable product page of the Website or disclosed in a text message.

By purchasing of a subscription to any Service or a download of any Materials (including any free subscriptions or downloads), you represent that you have read and understood this Agreement and agree to be bound by its terms and conditions as well as any terms and conditions specific to and (i) you are a 'natural person' older than the greater of the age of eighteen (18) years, or the age of majority in the country where you are a citizen, (ii) or if you are below the age of eighteen (18) years you have permission from your parent or guardian to subscribe to a Service or download Materials, as applicable. Parents and guardians of users under the age of 18 will be responsible for their minor users use of any Services or Materials and any violation of this Agreement. LimeLife does not make the Services or Materials directly available to anyone under the age of 13.

If you do not agree to be bound by (or cannot comply with) any of the terms and conditions of this Agreement, do not use the Website, or download or otherwise acquire any LimeLife content.

This Agreement may be changed from time to time. Any such change will be posted to the Website and will be effective immediately upon posting. Please check this Agreement periodically for changes. If you do not agree to be bound by (or cannot comply with) the Agreement as amended, your only remedy is to cancel any of your Service subscriptions, delete any Materials you may have downloaded and make no future purchases. Your continued use of the Website, Services and/or Materials following the posting of changes constitutes your acceptance of those changes.

Purchase And Registration
During the purchase or registration process for a license to a Service or Materials, you may be requested to provide certain information (e.g., name, telephone number, e-mail address, country or territory of residence, other billing information), and you agree to provide true, accurate, current and complete information about yourself as prompted by such process (such information being the "Personal Information"). You agree that you will use the Service only in the country or territory where you currently reside. LimeLife will use your Personal Information in accordance with its Privacy Policy. Please review this privacy policy before you agree to purchase a license or subscription to Materials or Services.

Charges And Payment
Payment and Taxes. The price of any Services will be the price specified at the time of your purchase. Prices for all Services exclude all applicable taxes and telecommunication charges, unless otherwise indicated. To the extent permissible by law, you agree to be responsible for any such applicable taxes and telecommunication charges. By completing the purchase and/or registration processes, you authorize LimeLife and/or your telecommunications carrier, to charge the applicable fees directly to your mobile telephone invoice, as selected by you or indicated in the transaction. LimeLife reserves its right to collect applicable taxes and impose premium surcharges for certain features of the Service.

One-Time Charges. The use or certain Services or download of certain Materials are subject to a one-time fee, which will be charged to your billing account with your carrier at the time of purchase. LimeLife may provide use-limited or time-limited trial versions of Materials without requiring payment of a fee at the time of download. Payment for such Materials will be required for use beyond the use or time limitations in the trial versions.

Subscription Charges. Use of particular Materials, Websites or Services may require a subscription, which may be available on a one time or monthly basis. Subscriptions are subject to direct billing by your telecommunications carrier. If you purchase a monthly subscription, your billing account with your carrier will be charged at the time of purchase for your first month of use. Your billing account with your carrier will automatically be charged monthly pursuant to the regular billing procedures of your carrier for the use of the subscription, until you cancel your subscription or it is otherwise terminated as provided in this Agreement. For some Services or Materials, we may offer a free trial subscription. If you accept a free trial subscription, we will begin to bill your carrier billing account for that subscription when the free trial subscription expires, unless you cancel your subscription before that time.

Subscription Cancellation. You may cancel your subscription at any time by contacting your carrier or according to the instructions for such subscription provided to you by text message or here at LimeLife's Website. If your subscription requires a minimum commitment period, you will be responsible for all charges for the entire minimum commitment period. If you cancel your subscription, you will not be refunded any remaining portion of your subscription fees already billed to your billing account with your carrier, including any minimum commitments.

Changes. All fees are subject to change upon notice from LimeLife. LimeLife will provide you with reasonable notice of such change. If the new fees apply to a Service to which you are then subscribed, and you do not accept the new fees (which will be applicable on a prospective basis only), you will have ten days from such notice to cancel your subscription.

Refund Policy. If you cease to use the LimeLife Services (in whole or in part) for any reason, LimeLife will not refund any of your fees paid as of that date. You must be careful when reviewing and entering information during the purchase and registration process. LimeLife will not refund any fees paid, or unused credits, nor otherwise be liable to you, in the event that: (i) your device is incompatible with the LimeLife Services or Materials, (ii) you select the wrong device or Carrier in the purchase or registration process, if LimeLife ceases to offer the LimeLife Services or Materials for any reason, (iii) you lose, break or change your device or change your telecommunications provider and the LimeLife Services are no longer available on your new device or provider, (iv) you lose or destroy any data or content on your device, or (v) your telecommunications provider ceases to offer the LimeLife Services.

Carrier Transactions and Charges
Your dealings with any wireless, telecommunications, or other carrier ("Carrier") in connection with the Website, Services or Materials, including payment for and delivery of any Services or Material, and/or any other terms, conditions, warranties or representations associated with such dealings, are solely between you and the Carrier. LimeLife shall not be responsible or liable for any part of any such dealings.

You are solely responsible for, and LimeLife will not have any liability to you for, any access or usage charges charged by a Carrier related to any device that you use to access the Website, use the Services or Materials, or receive communications (including text messages, emails, and telephone calls) you have requested that LimeLife or a LimeLife partner send to you, including, without limitation, usage charges for telephones, handheld devices, car navigation systems, pagers, and other devices, whether wireless or wireline.

Proprietary Rights
All materials made available to view and/or download in connection with the Website or any Service (whether accessed by web browser, WAP browser, or text message) including without limitation any mobile applications or games, WAP browser applications and interfaces, ringtones, games, applications, text messages, and graphics (including wallpaper) (Materials) are the copyrighted work of and is owned by LimeLife and/or its licensors or suppliers, as applicable, and are protected by intellectual property laws including copyright and trademark laws and international treaty provisions. You may not modify, publish, transmit, participate in the transfer or sale, create derivative works, or in any way exploit, any Materials (including, without limitation, Materials that LimeLife enables you to download) without the express written permission of LimeLife and the copyright owner.

Subject to your payment of any applicable fees and the terms of any applicable end user agreement applicable for any Services or Materials, LimeLife grants you a limited, non-exclusive, non-transferable, revocable right to access the Services and/or download the Materials to your compatible device solely for your own non-commercial use. If there are any inconsistencies between any specific terms applicable to Services or Materials and this Agreement, LimeLife will be the final and sole arbiter of the resolution of any such inconsistencies.

Reservation of Rights. All rights not expressly granted to you herein are reserved. You acknowledge that the Materials and Services are licensed, and not sold, by LimeLife and/or its licensors, as applicable, and that LimeLife and/or its licensors, as applicable, shall retain all right, title and interest in and to the Materials and Services, and all Intellectual Property rights therein.

Restrictions
Except as specifically provided herein, any modification, reproduction, display, publication, performance or redistribution of the Materials or Services in any medium is expressly prohibited. You may not: (i) sell, resell, transfer, sublicense, rent, lease or lend any portion of any Materials or Services; (ii) translate, modify, copy, reverse engineer, decompile, disassemble, attempt to discover the source code of, or create derivative works of any Materials or Services; (iii) remove any proprietary notices or labels on the Material or Service; or (iv) use the Material or Service in conjunction with any device or service designed to circumvent technological measures employed to control access to, or the rights in, a content file or other work protected by the copyright laws of any jurisdiction. Further, you understand and agree that you may not authorize, encourage or allow any of the activities above. Any unauthorized or prohibited use may subject the offender to civil liability and criminal prosecution under applicable federal and state laws.

You may not use the Materials or Services during certain activities, such as operation of a motor vehicle, where there exists a significant risk of accident or injury resulting from the distraction created by such use. You acknowledge that any such use is a violation of this Agreement and is at your sole risk. LimeLife will not be responsible for any damages of any kind resulting from such use.

You acknowledge that the Materials and Services, and any accompanying documentation or technical information, may be subject to applicable export control laws and regulations of the United States or the laws of the country in which you reside and that you will act in compliance with any such export control laws and regulations.

User Content
Certain of the Services may allow you to upload, transmit and share content you provide ("Your Content") with third parties. LimeLife takes no responsibility and assumes no liability for any of Your Content. You understand and agree that any loss or damage of any kind that occurs as a result of the use of any of Your Content that you upload, download, stream, post, transmit, display, or otherwise make available or access through your use of the Service, is solely your responsibility.

As a condition to your use of any Service that allows you to share Your Content with any third party, you hereby grant LimeLife a non-exclusive, royalty-free, worldwide, perpetual, transferable, assignable, and sublicenseable license to reproduce, publicly display, publicly perform, distribute, transmit, and otherwise use Your Content in all contexts, formats and media, solely to provide and market the Services. If you desire that Your Content be removed from the Service, please delete it as specified in the Service. However, we cannot guarantee that Your Content will be completely removed from the Service, nor from any third party devices, computers, or other repositories, nor that other people will not misuse any content that you supply.

You hereby represent and warrant, now and in the future, that: (i) you own or otherwise control all necessary rights to so use Your Content, and your grant of the above license in Your Content, and its use in connection with the Service, does not and will not violate third-party rights of any kind, including without limitation any intellectual property rights, rights of publicity and privacy; (ii) Your Content is not illegal, abusive, deceptive, pornographic, obscene, defamatory, slanderous, offensive, or otherwise inappropriate or harmful to any person (including any minor) or entity; (iii) Your Content contains no viruses, worms, corrupt files, Trojan horses, or other forms of corruptive code, or any other content which may compromise the Service; (iv) Your Content does not advocate illegal activity; (v) Your Content does not link to, promote, or constitute any prohibited content or activity; (vi) you will not use the Service to violate any law or legal right of any third party, including any publicity or privacy right, copyright, other intellectual property right, or any contractual, fiduciary or confidentiality obligation or duty, or to take any action that is harassing, libelous, defamatory, abusive, tortious, threatening, harmful or otherwise objectionable; (vii) you will not use the Service to post or transmit any unsolicited advertising, campaigning or promotional materials or to send any content or communication from an anonymous or false address; and (xiii) you will not mislead third parties as to your identity or to the origin of a message or content.

In addition to the above, you acknowledge and agree that LimeLife may access, review, store, modify, reproduce and/or disclose, as applicable, any of Your Content if required to do so, or if LimeLife has a good faith belief that it is required, by law, court orders or other legal processes, to enforce this Agreement, to respond to any claims that Your Content (or your use of the same) violates any third party's rights, or to protect the rights, property or personal safety of LimeLife, its business partners, affiliates, licensors and/or licensees, or the general public.

Objectionable Or Explicit Content
LimeLife may, in its discretion, create a system or method by which you may report to LimeLife any content, material or other aspect of the Service that you might find objectionable. You acknowledge and agree that, such a system or method not withstanding, in no event is LimeLife in any way responsible to you for any content or materials constituting all or part of any Material or any other aspect of the Service that you might find objectionable.

Disclaimers
THE WEBSITE, SERVICES AND MATERIALS ARE PROVIDED "AS IS", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. LIMELIFE, ITS AFFILIATES, LICENSORS AND SUPPLIERS, AND ALL OF THEIR RESPECTIVE AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS OR AGENTS (COLLECTIVELY, THE "LIMELIFE PARTIES") MAKE NO WARRANTIES, EXPRESS OR IMPLIED, AND HEREBY EXPRESSLY DISCLAIM AND TO THE MAXIMUM EXTENT ALLOWED BY APPLICABLE LAW, EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED INCLUDING, BUT NOT LIMITED TO, ANY AND ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, COMPATIBILITY, SECURITY, ACCURACY, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, THE LIMELIFE PARTIES MAKE NO WARRANTY OR REPRESENTATION, EITHER EXPRESS OR IMPLIED, THAT THE ACCESS TO, THE OPERATION, OR THE FUNCTIONS CONTAINED IN THE WEBSITE, SERVICES OR MATERIALSWILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT THE WEBSITE, SERVICES OR MATERIALS WILL MEET YOUR REQUIREMENTS OR ANY PARTICULAR CRITERIA OF PERFORMANCE OR QUALITY, OR THAT THE WEBSITE, SERVICES OR SOFTWARE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

YOU WILL NOT HOLD ANY LIMELIFE PARTIES, RESPONSIBLE FOR ANY DAMAGES THAT RESULT FROM YOU ACCESSING OR USING THE WEBSITE, SERVICES, AND/OR THE MATERIALS INCLUDING, BUT NOT LIMITED TO, ANY INFECTIONS OR CONTAMINATIONS OF YOUR DEVICES YOU USE TO ACCESS THE SAME OR TO TRANSFER MATERIALS THAT MAY RESULT FROM THAT USE. THE ENTIRE RISK AS TO THE QUALITY, ACCURACY, ADEQUACY, COMPLETENESS, CORRECTNESS AND VALIDITY OF ANY MATERIAL RESTS WITH YOU. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY ANY PERSON SHALL CREATE A WARRANTY IN ANY WAY WHATSOEVER RELATING TO THE LIMELIFE PARTIES AS APPLICABLE.

UNDER NO CIRCUMSTANCES SHALL THE LIMELIFE PARTIES, BE LIABLE FOR ANY UNAUTHORIZED USE OF THE SERVICE AND/OR THE MATERIALS.

Limitation of Liability
TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, IN NO EVENT WILL THE LIMELIFE PARTIES, BE LIABLE TO YOU OR TO ANY OTHER PARTY FOR ANY INCIDENTAL, SPECIAL, INDIRECT, RELIANCE, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST DATA, LOST REVENUE, OR LOST PROFITS, OR FOR ANY CLAIM BY ANY THIRD PARTY WITH RESPECT TO THE WEBSITE, SERVICES OR SOFTWARE, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, EVEN IF ANY OF THE LIMELIFE PARTIES HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. IN NO EVENT WILL THE TOTAL LIABILITY OF THE LIMELIFE PARTIES, FOR ALL DAMAGES EXCEED THE LICENSE FEES PAID BY YOU FOR THE SERVICES OR SOFTWARE.

SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU. TO THE EXTENT THAT IN A PARTICULAR CIRCUMSTANCE ANY DISCLAIMER OR LIMITATION ON DAMAGES OR LIABILITY SET FORTH HEREIN IS PROHIBITED BY APPLICABLE LAW, THEN, INSTEAD OF THE PROVISIONS HEREOF IN SUCH PARTICULAR CIRCUMSTANCE, LIMELIFE AND/OR THE LIMELIFE PARTIES AS APPLICABLE, SHALL BE ENTITLED TO THE MAXIMUM DISCLAIMERS AND/OR LIMITATIONS FOR ANY AND ALL CLAIMS, DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT OR OTHERWISE) BY SUCH APPLICABLE LAW IN SUCH PARTICULAR CIRCUMSTANCE, AND IN NO EVENT SHALL SUCH DAMAGES OR LIABILITY EXCEED THE LESSER OF $50 OR THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SERVICE OR PURCHASING PRODUCTS.

The disclaimers and limitations set forth above will apply regardless of whether you accept the license agreement, if any, that accompanies any Materials.

Promotions And Advertising
LimeLife and/or its business partners may present advertisements and promotional materials on or through the Services. Your participation in any LimeLife promotional event is subject to the terms and conditions associated with that event. All of your correspondence or business dealings with, or participation in promotions of, any third parties on or through the Service are solely between you and such third party. You agree that none of the LimeLife Parties (except the specific third party, if applicable) shall be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such third parties on the Service.

Trademarks
LimeLife and Girls Night Out are registered trademarks of LimeLife, Inc. and are protected by law. The LimeLife logo, Word Heaven, and other related marks are trademarks of LimeLife, Inc. and are protected by law. InStyle and other related marks are trademarks of Time Inc, and are protected by law. All other trademarks, service marks, trade names, domain names, slogans, logos, and other indicia of origin that appear on or in connection with the Service and Materials ("Marks") may be trademarks of their respective owners and are used with permission. You may not copy, display or use any of these Marks without prior written permission of the Mark owner.

Modifications To Services
LimeLife may, without liability or obligation, in its sole discretion and at any time: (i) make modifications to the Materials and/or Service and without providing you with notice; and/or (ii) require you to use modified Materials and/or Services in order to have continued access to the Service and Materials. The modifications may result in certain Materials being unavailable, or incompatible with certain devices, and/or over the networks of certain carriers and service providers. LimeLife may terminate or modify your right to use any Materials previously downloaded by you upon providing you with written notice, which may be made by means of a posting on the Website. Upon LimeLife giving such notice, you shall promptly cease the use of, and destroy, all copies of the specified Materials, or otherwise modify your usage as directed by LimeLife. You agree that neither LimeLife nor its licensors or other suppliers shall be liable to you or to any third party for any modification, suspension or discontinuance of any Service or Materials.

Termination, Cancellation And Plan Changes
LimeLife may in its sole discretion terminate this Agreement or suspend your access to Services or Materials at any time with or without notice to you in the event that you breach (or LimeLife reasonably suspects that you have breached) any provision of this Agreement. If LimeLife so terminates this Agreement, or suspends your access to Services or Materials, it shall have no liability or responsibility to you, and LimeLife will not refund any portion of your fees. You understand and agree that to the extent permitted by applicable law, your cancellation of any of your then-current Service subscriptions and deletion of Materials is your sole right and remedy with respect to any dispute with LimeLife. This includes, but is not limited to, any dispute related to or arising out of: (i) any term of this Agreement or LimeLife's enforcement or application of the same; (ii) any policy or practice of LimeLife, including its Privacy Policy, or LimeLife's enforcement or application of these policies; (iii) your use of and/or ability to access and use the Website, any Service or Materials; and (iv) the amount or type of fees, surcharges, applicable taxes, billing methods, or any change to the fees, applicable taxes, surcharges or billing methods.

Remedies
You understand and agree that any unauthorized use of the Service or the Materials would result in irreparable injury to LimeLife and/or its affiliates, licensors and/or other suppliers for which money damages would be inadequate, and in such event LimeLife its affiliates, licensors and/or other suppliers, as applicable, shall have the right, in addition to other remedies available under this Agreement, at law and in equity, to immediate injunctive relief against you. Nothing contained in this paragraph or elsewhere in this Agreement shall be construed to limit remedies or relief available pursuant to statutory or other claims that LimeLife, its affiliates and/or licensors may have under separate legal authority, including but not limited to, any claim for intellectual property infringement.

Indemnification
You agree that you will be personally responsible for Your Content, your use of the Website, any Service and the Materials, and that you will indemnify, defend and hold harmless LimeLife and its licensors and suppliers, and their respective affiliates, employees, officers, and directors from and against any and all claims, liability, losses, damages, costs and expenses (including reasonable attorneys fees) incurred in connection with your use or alleged use of the Website, any Service, Your Content, and/or the Materials, your violation of this Agreement, and/or any disputes or issues between you and any Carrier. LimeLife reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with LimeLife's defense of such claim.

Third Parties
Your obligations under this Agreement, and the limitations of liability and other disclaimers in and the provisions of this Agreement is for the benefit not only of LimeLife, but also its suppliers and licensors, including but not limited to Time Inc. To the extent you access Materials that LimeLife provides under license from Time Inc., either Time Inc. or LimeLife may directly enforce this Agreement with respect to such Materials. This Agreement is not otherwise intended to confer and does not confer any rights or remedies upon any person other than the parties to this Agreement.

Law and Jurisdiction
LimeLife operates the Website and the Services from its offices in Menlo Park, California, and makes no representations that materials in the Website, the Materials or the Services are appropriate or available for use in other locations. Access to the Materials, Website or Services from any territory where the content is illegal is prohibited. If you choose to access the Materials, Website or Services from other locations, you do so at your own risk and are solely responsible for compliance with any and all applicable laws, rules and regulations. The download of Materials, display of the Website or your use of the Services, without more, does not subject LimeLife to any specific jurisdiction.

Arbitration
You agree that the exclusive remedy for all disputes and claims relating in any way to, or arising out of, this Agreement, the Service or Materials, or your use of the Service or Materials (including the arbitrability of any claim or dispute and the enforceability of this paragraph), or to any other alleged act or omission by you or LimeLife, shall be determined exclusively by final and binding arbitration. Provided however, that you agree that the terms of this paragraph do not apply to any breach or alleged breach of the ownership or license rights of LimeLife or any of its licensors with respect to any Materials and/or Services, or your (or any third party's) misuse of the Materials and/or Services, and that, in the event of any such breach of alleged breach, LimeLife and its licensors will be entitled to equitable and injunctive relief in addition to all other remedies provided by this Agreement or available at law. The arbitration shall be conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") before a panel of three arbitrators and conducted in Menlo Park, California. You and LimeLife also agree that the AAA Optional Rules for Emergency Measures of Protection shall apply to the proceedings. Except as expressly set forth above in this paragraph, you and LimeLife may litigate in court only to compel arbitration under this Agreement or to confirm, modify, vacate or enter judgment on the award rendered by the arbitrators. To the extent that you have breached or have indicated your intention to breach this Agreement in any manner which violates or may violate LimeLife's or any of its licensors' intellectual property rights, or may cause continuing or irreparable harm to LimeLife (including, but not limited to, any breach that may impact LimeLife's or its licensors' intellectual property rights, or a breach by reverse engineering), LimeLife may seek injunctive relief, or any other appropriate relief, in any court of competent jurisdiction. To the fullest extent permitted by applicable law: no arbitration under this Agreement shall be joined to an arbitration involving any other current or former licensee of LimeLife, whether through class arbitration proceedings or otherwise; no finding or stipulation of fact in any other arbitration, judicial or similar proceeding may be given preclusive or collateral estoppel effect in any arbitration hereunder (unless determined in another proceeding between you and LimeLife); and no conclusion of law in any other arbitration may be given any weight in any arbitration hereunder (unless determined in another proceeding between you and LimeLife).

General
This Agreement, and any claim related to this Agreement, or the use of the Website, Services or Materials, shall be governed by, construed and enforced in accordance with the laws of the State of California as applied to agreements made and to be performed entirely therein, without giving effect to its conflict of laws provisions or your actual state or country of residence. Except for claims or disputes to the extent arbitrated as provided above, you hereby irrevocably consent to the exclusive jurisdiction of the Federal District Court of the Northern District of California and the California state courts located in the county of San Mateo. If any part of this Agreement is determined to be invalid or unenforceable pursuant to applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of this Agreement shall continue in effect. LimeLife's failure to pursue any available claim or defense pursuant to this Agreement or otherwise will not be a waiver of such claim or defense. The headings used in this Agreement are for convenience only, and will have no effect on the interpretation or legal enforceability of the terms herein. This Agreement will bind and inure to the benefit of each party's permitted successors and assigns. This Agreement is personal to you and may not be transferred, assigned or delegated to anyone. Any attempt by you to assign, transfer or delegate this Agreement shall be null and void. Unless otherwise specified herein, this Agreement constitute the entire agreement between you and LimeLife with respect to the Website, Services and/or Materials, and supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and LimeLife regarding such subject matter. A printed version of this Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
