1. ELIGIBILITY

The LimeLife "You Win, You Choose" Giveaway(the "Sweepstakes") is offered and open only to legal residents of the fifty United States and the District of Columbia, age sixteen (16) years or older as of the date of entry, [who have an active email account and Internet access as of the beginning of the Sweepstakes period.] Any entrant under the age of majority in the state of his/her residence must have permission from his/her parents or legal guardians to participate. Employees and directors of LimeLife, Inc. ("LimeLife" or "Sponsor"), its parent, affiliated and subsidiary companies, distributors or vendors, advertising, promotion and fulfillment agencies, legal advisors, and their immediate family members or persons living in their same households, are not eligible to participate or win. By entering, you agree to these Official Rules and the decisions of LimeLife, which are final and binding in all respects. VOID IN PUERTO RICO AND WHERE PROHIBITED OR RESTRICTED BY LAW.

2. PROMOTIONAL PERIOD

There is a thirty one day promotional period ("Promotional Period"), beginning on Tuesday, October 21, 2008 at 12:00:00 AM ET and ending on Thursday, November 20, 2008 at 11:59:59 PM ET

3. ENTRY

To enter this Sweepstakes electronically, your computer must accept cookies, or any successor or similar technology (whether now known or hereafter devised or discovered), that may be used by Sponsor for the purpose of entry tracking. Sponsor uses cookies to collect and identify a user's IP address, track whether that user has visited the Sweepstakes webpage, track whether an entry has been submitted from that IP address and review that user's answer to the weekly Sweepstakes question. There are two ways to enter the Sweepstakes. To enter you must register on LimeLife.com or login if already a member, and refer three friends to the LimeLife site by entering their valid email addresses in the fields provided on the LimeLife site ("Online Entry"). To access the LimeLife Web entry page, go to the following URL: http://www.limelife.com/contest.html. Only one Online Entry attempt per person and per email address is permitted during the Promotional Period. Subsequent attempts to enter will be disqualified. If the email you have provided is not valid, you will not receive an Online Entry. If you register as a new member, LimeLife will send you a confirmation email to the email address you entered. To successfully complete your LimeLife member registration, you must confirm your LimeLife member registration within 72 hours by clicking on the link provided in the email. You will not be entered into the Sweepstakes unless you have confirmed your LimeLife member registration.

You may also receive an entry into the sweepstakes by mailing a 3" x 5" card with your name, age, address, contact phone and e-mail address to The LimeLife "You Win, You Choose" Giveaway, 4300 Bohannon Drive, Suite 230, Menlo Park, CA 94025. Mailed entries must be postmarked by November 20, 2008 and received by November 27, 2008. Each entry must be mailed separately. No mechanical reproductions. Limit 1 mail-in entry per person. Unless otherwise specified in writing on the LimeLife Web site, any other attempt at Internet or email entry is void.

You may not under any circumstances submit more than one (1) Online Entry during the Promotional Period. You may only win one (1) prize. Entrants may not enter with multiple email and/or multiple identities nor may entrants use any other device or artifice, including any use of robotic, automatic, programmed or the like entry methods, to submit entries. Any entrant who attempts to participate with multiple email and/or multiple identities or uses any device or artifice to submit entries may be disqualified and all such entries will be void.

4. PRIZE DRAWING

All Sweepstakes entries meeting the requirements of these Official Rules will be entered into the prize drawing. There will be one drawing at the end of the Promotional Period; the winner will be selected at random from all eligible entries received for Sweepstakes. The drawing will be conducted by independent judges whose decisions are final and binding.

The drawing will take place on or about November 27, 2008

5. PRIZE/ODDS

One Prize will be awarded to the winner. The winner will have the right to choose one (1) of the following prizes:

(a). One (1) MacBook Air, 1.6 GHz. Retail value is approximately $1800.

OR

(b). One (1) yellow 18K gold STAR necklace exclusively designed by Jennifer Meyer to benefit Stand Up To Cancer in gold and three (3) sterling silver STAR necklaces exclusively designed by Jennifer Meyer to benefit Stand Up To Cancer. Retail value is approximately $1500

OR

(c). One (1) Balenciaga Giant City Bag in an available color. Retail value is approximately $1600

The odds of winning the prize in the drawing depend on the total number of eligible entries received. Winner is solely responsible for any and all federal, state, provincial and local taxes that apply to prize. Prize is non-transferable and non-assignable. No other substitutions, cash equivalents or redemptions of prize are permitted, except at the sole option of Sponsor for a prize of equal or greater value. Sponsor makes no representations or warranties concerning the appearance, safety or performance of prize awarded. Prize won by minor will be awarded to the parents or legal guardians, who must sign all required affidavits and releases. Sponsor will not replace any lost or stolen prize.

6. NOTIFICATION OF WINNER

Potential winner will be notified by email, phone or mail within approximately seven (7) days of the drawing. Winner (or parent/legal guardian if winner is a minor in his/her state of residence) may be required to complete, execute and return to Sponsor an affidavit of eligibility (which affirms that he/she has complied with these rules), a liability release and a publicity release (except where prohibited by law) within seven (7) days of notification. If a selected winner cannot be contacted, is ineligible, is in breach of these Official Rules, fails to claims the prize and/or where applicable an affidavit of eligibility and liability/publicity release is not timely received, is incomplete or modified, prize may be forfeited and an alternate winner may be selected from remaining valid, eligible entries timely submitted. In the event of a dispute regarding who submitted an electronic entry, the entry will be deemed submitted by the authorized account holder of the email account specified in the entry. "Authorized account holder" is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. Potential winner may be required to provide Sponsor with proof that s/he is the authorized account holder of the email address associated with the winning entry. All entries become property of Sponsor and none will be acknowledge or returned. Allow six to eight (6-8) weeks for delivery of prize.

7. GENERAL RULES

By entering, you agree to be bound by these Official Rules. The Sweepstakes is offered by LimeLife, Inc., 4300 Bohannon Drive, Suite 230, Menlo Park, CA 94025.

Except where prohibited, by accepting prize, winner grants to Sponsor, and those acting pursuant to its direction or control, the right to print, publish, broadcast and use, worldwide, in any media now known or hereafter developed, including but not limited to the World Wide Web, at any time or times, the winner's first name, city, state, winning entry and statements attributed to winner (if true) for advertising, trade and promotional purposes without additional compensation, and without notification, review or approval.

By accepting prize, winner agrees that any affidavit of eligibility and liability/publicity release, and any grant of permission to use the winner's first name, city, state, winning entry and statements attributed to winner (if true), as stated above, may be secured by Sponsor electronically, for example but not limited to, by email or by facsimile, and such secured affidavit and/or releases and permission will have the same force and effect as if any of them had been secured in a written document which was physically executed by the winner.

Further, by accepting prize, winner releases and agrees to hold Sponsor, its parent, affiliates, subsidiaries, directors, officers, employees, sponsors, representatives and agents, including advertising and promotion agencies, harmless from any and all liability with respect to the Sweepstakes, or the acceptance, possession or use of any prize, including without limitation: (i) any condition caused by events beyond Sponsor's control that may cause the Sweepstakes to be disrupted or corrupted; (ii) any injuries, losses or damages (compensatory, direct, indirect, incidental, consequential or otherwise) of any kind, to any person, including personal injury, death or property damage, or claims based on publicity rights, defamation and/or invasion of privacy, arising directly or indirectly, in connection with or as a result of, the prize, or acceptance, possession, use or misuse of a prize, participation in any Sweepstakes related activity, or participation in this Sweepstakes; and (iii) any printing or typographical errors in any materials associated with the Sweepstakes. Sponsor's decisions in all respects relative to the Sweepstakes are final.

Sponsor reserves the right to disqualify any entrant or winner, as determined by Sponsor in its sole discretion, to be tampering with the entry process or the operation of the Sweepstakes or the LimeLife Web site, to be in violation of the Terms of Service of the LimeLife Web site, to be acting in violation of these Official Rules, to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person.

If for any reason this Sweepstakes is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures or any other causes which, in the sole opinion of Sponsor, corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, Sponsor reserves the right in its sole discretion to cancel, terminate, modify or suspend the Sweepstakes, without liability to any entrant. If the Sweepstakes is terminated due to tampering or technical difficulties prior to its expiration date, notice will be posted at http://www.limelife.com

ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND, SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

8. LIMITATIONS OF LIABILITY

Sponsor and its agencies are not responsible for late, lost, delayed, damaged, incomplete, illegible or misdirected entries, responses or other correspondence, whether by email or postal mail or otherwise, or for any (i) error, omission, interruption, deletion, defect, delay in operation or transmission, theft or destruction or unauthorized access or alterations of entry materials, phone, electrical, network, computer on-line systems, servers or providers, computer equipment or software programs or (ii) transmission malfunctions, difficulties or failures of any email or entry to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any Web site, or any combination thereof.

Sponsor and its agencies are not responsible for any incorrect or inaccurate capture of information or the failure to capture such information, whether caused by Web site users, tampering or hacking, or by any of the equipment or programming associated with or utilized in the Sweepstakes and assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to the Web site. Sponsor and its agencies are not responsible for injury or damage to participants' or to any other person's computer related to or resulting from participating in this Sweepstakes or downloading materials from or use of the Web site.

IN NO EVENT WILL SPONSOR OR ITS PARENTS, AFFILIATES, SUBSIDIARIES AND RELATED COMPANIES, THEIR ADVERTISING OR PROMOTION AGENCIES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR PARTICIPATION IN THE SWEEPSTAKES, ACCESS TO AND USE OF INTERNET SITE WWW.LIMELIFE.COM OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SAID SITE, OR YOUR ACCEPTANCE, POSSESSION, USE OR MISUSE OF ANY PRIZE OR WHILE TRAVELING TO OR FROM ANY PRIZE-RELATED ACTIVITY. 9. DISPUTES

Except where prohibited, as a condition of participating in the Sweepstakes, participant agrees that any and all disputes which cannot be resolved between the parties, claims and causes of action arising out of or connected with the Sweepstakes, any prize awarded or the determination of winner, shall be resolved individually, without resort to any form of class action, and exclusively by arbitration pursuant to the commercial arbitration rules of the American Arbitration Association, then effective. Further, in any such dispute, claim or cause of action, under no circumstances will participant be permitted to obtain awards for, and hereby waives all rights to claim indirect, punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than participant's actual out-of-pocket expenses (i.e., costs associated with entering the Sweepstakes), and participant further waives all rights to have damages multiplied or increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of participant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of California, U.S.A., without giving effect to the conflict of laws rules thereof, and all proceedings shall take place in that State in the City of San Mateo, County of San Mateo.

Sponsor may collect personal data about entrants online, in accordance with its privacy policy and as more specifically set forth in these Official Rules. By participating in the Sweepstakes, entrants hereby agree to Sponsor's collection and use of their personal information as set forth herein and acknowledge that they have read and accepted these Official Rules and Sponsor's privacy policy.

11. RESULTS
